1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and IllumiCore Ltd. ("we", "us", "our", "neatcsv") governing your use of the neatcsv.com website and service (the "Service").

By creating an account, subscribing to a plan, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

3. Description of Service

neatcsv is a web-based data cleaning tool that allows you to:

  • Upload CSV, Excel (.xlsx, .xls), and JSON files
  • Clean, transform, and validate your data using 13+ transformation tools
  • Download processed files in CSV, Excel, or JSON format

Client-Side Processing: All data transformations are performed locally in your browser using JavaScript. Your files are never uploaded to our servers during processing.

Subscription Required: Access to the Service requires an active paid subscription.

4. Subscription Plans and Pricing

We offer the following monthly subscription plans:

  • Starter Plan: €9/month - Process up to 10,000 rows per month
  • Professional Plan: €29/month - Process up to 100,000 rows per month
  • Business Plan: €79/month - Process up to 500,000 rows per month

Billing: All subscriptions are billed monthly in advance. Prices are in Euros (€) and include applicable VAT.

Row Limits: Your monthly row limit resets on the same day each month as your initial subscription date. If you exceed your limit, files will be truncated to your plan's maximum row count.

Price Changes: We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing period.

5. Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. We do not store your credit card information on our servers.

Payment Methods: We accept credit cards and other payment methods supported by Stripe.

Failed Payments: If your payment fails, your subscription may be suspended or cancelled. You will be notified via email, and you will have the opportunity to update your payment method.

Refunds: Payments are non-refundable except where required by law or at our sole discretion. See Section 7 (Right of Withdrawal) for details on cancellation rights.

6. Account Registration

Payment-First Registration: You must complete payment before gaining access to the Service. Your account is created only after successful payment confirmation.

Account Security: You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use of your account.

Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

One Account Per User: You may not create multiple accounts to circumvent usage limits or for any other purpose.

7. Right of Withdrawal (Cancellation Policy)

7.1 No Right of Withdrawal for Digital Content

Important Notice: In accordance with Article 16(m) of EU Directive 2011/83/EU and applicable consumer protection laws, you do NOT have the right to withdraw from your purchase once you have gained access to the Service.

Legal Basis for Exclusion:

The right of withdrawal does not apply to contracts for the supply of digital content which is not supplied on a tangible medium if the performance has begun with your prior express consent and your acknowledgment that you thereby lose your right of withdrawal.

7.2 Your Express Consent

By completing your subscription payment, you:

  • Expressly request immediate access to the Service
  • Acknowledge that you will lose your right of withdrawal once access is granted
  • Agree that performance of the contract begins immediately upon payment confirmation

7.3 Cancellation of Subscription

While you cannot withdraw from your initial purchase, you can cancel your subscription at any time to prevent future billing. See Section 8 for details.

8. Subscription Cancellation and Termination

8.1 Cancellation by You

You may cancel your subscription at any time through:

  • Your account dashboard
  • The Stripe Customer Portal (accessible from your dashboard)
  • Email request to info@neatcsv.com

Effect of Cancellation: When you cancel, your subscription will remain active until the end of your current billing period. You will not be charged for subsequent periods. No refunds are provided for the remaining days of your current billing period.

8.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Abuse the Service or attempt to circumvent usage limits
  • Fail to pay subscription fees

8.3 Effect of Termination

Upon termination, you will immediately lose access to the Service. Your account data will be deleted in accordance with our Privacy Policy (typically within 30 days).

9. Acceptable Use

You agree to use the Service only for lawful purposes. You must NOT:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Attempt to reverse engineer, decompile, or hack the Service
  • Use automated tools (bots, scrapers) to access the Service
  • Resell, sublicense, or distribute the Service without authorization
  • Upload malicious code, viruses, or harmful content
  • Abuse or overload our infrastructure
  • Create multiple accounts to circumvent usage limits

10. Intellectual Property

Our Rights: The Service, including its design, code, features, trademarks, and content, is owned by IllumiCore Ltd. and protected by copyright, trademark, and other intellectual property laws.

License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes, subject to these Terms.

Your Data: You retain all rights to the data you upload and process. We claim no ownership over your data files.

11. Warranties and Disclaimers

11.1 Service Availability

We strive to provide a reliable Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

11.2 Data Accuracy

Important: While our transformation tools are designed to clean and validate data, we do not guarantee the accuracy, completeness, or correctness of the output. You are responsible for verifying the results before using them in production.

11.3 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

Data Loss: We strongly recommend maintaining backups of your original data files. We are not responsible for any data loss or corruption.

Note: This limitation of liability does not apply to liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless IllumiCore Ltd., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Updating the "Last updated" date at the top of this page
  • Sending an email notification to your registered email address

Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.

Jurisdiction: Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of Cyprus.

EU Consumer Rights: If you are a consumer in the European Union, you retain any mandatory consumer protection rights under EU law and the law of your country of residence.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IllumiCore Ltd. regarding the use of the Service and supersede all prior agreements and understandings.
